金聰明學院 使用者條款

本使用者條款（以下稱「本條款」）適用於所有位於及連結於 kingsmartschool.com 網域之網站（以下稱「金聰明學院」「我們」「我們的」），金聰明學院及其關係企業之財產（以下稱「金聰明學院」）。

同意條款

不論個別的使用者其物理位置於何處，本條款適用於所有連結至 金聰明學院 之會員或訪客（以下合稱「使用者」、「您」），透過持續使用 金聰明學院 提供之服務，即表示您已知悉且同意本條款，若您不同意本條款之部分或全部內容，您應立即停止使用 金聰明學院。另關於課程購買、購課後服務等，請參閱：金聰明學院 網際網路課程購買暨服務契約（以下簡稱購課合約），且於您使用 金聰明學院 前，亦請詳閱我們的隱私權政策。

若您有任何疑問，歡迎隨時直接聯繫我們的客服人員。

使用者未滿七歲，不得於 金聰明學院 「建立帳號」（如涉及購買課程等事項，請參考購課合約之約定），須由其法定代理人建立帳號。如使用者已滿七歲未滿二十歲，則其申請註冊成為會員前，需得其法定代理人同意，始得註冊及使用 金聰明學院 所提供的會員服務。使用者未滿二十歲，須保證其獲得法定代理人同意可使用 金聰明學院 提供的服務。當該使用者申請註冊成為會員，並繼續使用 金聰明學院 提供的服務時，則表示其法定代理人已經閱讀且知悉並同意本條款。

本條款更新

金聰明學院 在法律准許的範圍內，有權隨時修改、調整本條款中的任何條款內容。一旦 金聰明學院 對本條款內容進行修改或調整，金聰明學院 將會以公告形式發佈通知。任何修改或調整將於公布之時起生效。如果使用者在修改公布後，繼續使用 金聰明學院 所提供的服務，則表示同意遵守本條款之更動。因此，請使用者務必定期查閱本條款，以確保了解本條款的所有更動。如果使用者不同意 金聰明學院 對本條款之更動，請離開 金聰明學院 網站並立即停止使用 金聰明學院 服務，同時，會員應刪除個人檔案並註銷會員資格。金聰明學院 亦有權於下列違規情事發生時，刪除會員個人檔案並註銷會員資格。

會員帳號及密碼安全

無論使用者是訪客或會員，都可以瀏覽 金聰明學院 上的內容，但只有註冊成為會員之使用者始得購買線上課程並享受 金聰明學院 提供的各項服務。訪客可以透過在 金聰明學院 官方網站上填寫表單，在課程顧問協助下建立帳號。

使用者不應使用任何與其個人真實資料無關之資訊建立其帳號名稱，包括但不限於使用模仿他人姓名或使用攻擊性的字眼、任何種族歧視的文字及任何會傷害、侵害他人權利之文字作為帳號名稱，如發生前開事項，金聰明學院 有權終止該帳號的服務。在僅建立帳號但尚未購買課程前（購買產品後，即依照購課合約之約定），應注意如下事項：會員應妥善保管其帳號及密碼，不應將其帳號及密碼轉讓或出借給他人使用，如會員發現其帳號遭他人非法使用，應立即通知 金聰明學院。因駭客行為或會員的保管疏忽導致帳號、密碼遭他人非法使用，金聰明學院 不負擔任何責任。

您有義務妥善保管帳戶、密碼及其他相關身分驗證資訊，並為此帳號登入系統後所進行之一切活動、行為負責，包括但不限於衍生之相關費用。

您同意在使用 金聰明學院 時遵循所有適用法律，且僅可基於合法目的使用本服務。以非經 金聰明學院 同意或指示之方式使用本服務或接觸系統，均應被嚴格禁止，金聰明學院 有權停止提供該使用者之服務。

隱私權政策

使用者提供的個人資料及 金聰明學院 保存與使用者相關之若干其它資料將受到中華民國法律和 金聰明學院 隱私權政策之規範。

使用規定和條約

任何經由 金聰明學院 服務上傳、張貼、發送電子郵件或任何其它方式傳送的文字、文件、影片、照片（包括使用者的照片）、圖片、聲音、音樂作品、創作作品或任何其他內容（以下簡稱「內容」），無論為公開或是私下傳送，均由內容提供者承擔責任。金聰明學院 針對任何會員上傳未經授權之內容，不負擔任何責任。

使用者均不得下載、重製、公開傳輸、轉售、公開播放、分享或使用 金聰明學院 及 金聰明學院相關網站 上之課程。使用者違反前述規定，將負擔所有因此侵權行為而生之法律責任。

預購及課堂參與

金聰明學院 是一個線上上課的平台。金聰明學院 允許部份會員提出課程並尋求其他會員的預購（預購者）。提出課程的這些會員即課程老師，而預購者或是購買課程之會員即為學生。

費用問題

金聰明學院 將於學生購買課程（不論預購或正式開課）後，開立並寄送課程購買成功通知信予學生。若課程開設失敗或課程老師未完備其與 金聰明學院 約定之義務，金聰明學院 會將學生已支付之費用全額退還，以保障其權利。

 

第三方連結

金聰明學院 可能含有連結至 金聰明學院 以外之第三方網站，由於 金聰明學院 無法控制這些網站及資源，因此使用者在使用各該第三方網站前，需自行瞭解各該第三方網站之使用者條款及隱私權政策。

智慧財產權

金聰明學院 擁有 金聰明學院 及於 金聰明學院 上發表之所有內容（“網站內容”）之所有權利，所有權及一切因此所生之利益，包括所有著作權、專利、商業秘密，商標和其他智慧財產權。所有未被明確授權之權利將僅能由 金聰明學院 行使。

網站內容的所有材料和組合，包括但不限於檔案、課程、各式圖片、報告、課程介紹、講師介紹和常見問答均以 金聰明學院 為著作人。您對網站內容的所有材料和組合的使用均受本條款之約束。

金聰明學院 的設計或排版受著作權，外觀設計，商標，公平法和其他法律的保護，不得進行部分或全部之重製或模仿。未經 金聰明學院團隊 明確授權，不得重製或轉發 金聰明學院 的商標，設計、聲音或圖像。

內容和其他合法權益

金聰明學院 並非所有上傳至 金聰明學院 內容之所有者。然而當會員發表、上傳、提交內容至 金聰明學院 的留言或對話板，該會員即同意授與 金聰明學院 集團全球的、不可撤銷的、非獨家的、免費的授權可以重製、使用、發表、翻譯、公開展示、公開傳輸、公開傳播、改作前述內容至所有現在或未來的媒體平台。該會員同意前述使用將無須支付任何費用。

終止服務

使用者同意 金聰明學院 集團有權可基於其判斷或任何原因，隨時以各樣理由終止或暫停會員使用 金聰明學院 之服務，包括但不限於該會員顯少使用服務、違反本條款等。而對已購課會員課程相關服務事項的終止，則另依購課合約之約定。

金聰明學院 集團於終止服務後，不論是否已通知，均得刪除該會員之帳號及內容，並可避免該使用者於未來連結至 金聰明學院 或使用 金聰明學院。

賠償

使用者擔保如 金聰明學院 集團及其管理階層、董事、員工、代理人及承包商因 a) 該使用者所發布或遞交之內容 b) 使用 金聰明學院 c) 該使用者違反本條款及 d) 使用者侵犯第三人之任何權利，而產生之各樣主張、要求，從而受有損失、須負擔責任、損害賠償或支出（包括但不限於合理的律師費用），使用者同意賠償。

資料備份

使用者同意隨時為資料備份，以防資料遺失，金聰明學院 不對任何內容遺失及使用者因此而受的相關損失承擔責任。

與廣告商進行之交易

使用者明白於 金聰明學院上所投放之廣告內容、行銷文字及商品說明等各種銷售資訊，均由各該廣告商、產品與服務供應商所刊登，金聰明學院僅接受委託予以刊登，對內容並不做實質之審查或修改，請使用者自行謹慎斟酌判斷此等廣告之正確性與可信度。除有關法律法規有明文規定要求 金聰明學院 承擔責任以外，使用者因前述廣告而產生之交易遭受的任何的損失或損害，金聰明學院 均不予負責。

禁止商業行為

使用者同意於使用 金聰明學院 時將不會：a) 修改、重製、對於任何功能、程式進行還原工程 （reverse engineering）、反向組譯（disassemble）或任何企圖取得原始碼或內容之行為；b) 於上架之課程內容，包含任何商業或置入性行銷之內容，金聰明學院 有權自行認定並將違反規定之內容無條件下架或移除。

擔保與保證

金聰明學院 不保證以下事項：a) 本服務將符合使用者的特定要求；b) 於 金聰明學院 購買或取得之任何產品、服務、資訊或其它課程將符合使用者的期望。

一般性條款

本條款及使用者與 金聰明學院 之關係，均以中華民國法律為準據法。使用者與 金聰明學院 就本服務、本條款或其它有關事項發生的爭議，應以台灣台北地方法院為第一審管轄法院。倘本條款之部分規定因與中華民國法律抵觸而無效者，本條款其它規定仍應具有完整的效力及效果。本條款之標題僅供方便而設，不具任何法律或契約效果。

KingSmart School Terms of Service

These Terms of Service (the "Terms of Service") apply to the website located at kingsmartschool.com, ("KingSmart School" "We," "Our"), and all associated sites linked to kingsmartschool.com. KingSmart School is the property of KingSmart School Inc., its subsidiaries and affiliates (collectively KingSmart School Group).

User Agreement

These Terms of Service apply to all visitors and members ("users") entering KingSmart School, regardless of the physical location of the individual accessing user. By using the service provided by KingSmart School, you are expressly accepting these Terms of Service. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use KingSmart School. Please also read Our Privacy Policy before you use any portion of KingSmart School. If you have any questions, please feel free to contact customer service immediately. The rights and obligations of the instructors are stated in the separate Instructor Agreement.

User who is under the age of seven, is prohibited to create an account on KingSmart School. If the user has reached the age of seven and is under the age of twenty, the consent of a parent or guardian is required before creating an account and using the services provided by KingSmart School. Users under the age of 20 must confirm to have obtained the consent of their parent or guardian. When the user completes the application and continues to use the services provided by KingSmart School, it means that a parent or guardian has read, understood and agreed to the terms.

Terms Update

KingSmart School Group reserves the right to modify any of the terms at any time, to the extent permitted by law. KingSmart School Group will make an announcement of the update on KingSmart School and any changes will take effect from the time of the announcement. By continuing to use the services provided by KingSmart School, users agree to the modifications made to these Terms. Therefore, users are requested to review these Terms periodically to ensure awareness of all recent changes. If the user disagrees with KingSmart School's modifications to the Terms, please exit KingSmart School and cease use of the services on KingSmart School immediately. Meanwhile, users shall delete their profiles and terminate their accounts. KingSmart School Group also has the right to delete the user’s profiles and terminate the account when below violations occur.

Accounts and Passwords Safety

All visitors have access to browse the content published on KingSmart School, but only a member who creates an account is eligible to take online courses and enjoy most of the services provided by KingSmart School. Visitors can fill the application form to create an account on KingSmart School under our staff's help. When setting up and maintaining the account, members must provide and continue to provide accurate and complete information regarding the personal information required to create the account. All personal information provided are used as login credentials. Any incomplete or untrue information provided upon registration is considered a violation of the Terms of Service, and KingSmart School has the right to terminate service to the user. KingSmart School is not responsible for any issue raised due to incomplete and untrue registration information and the associated consequences.

Users are prohibited from creating usernames that is not using their true personal information, including but not limited to mimic any third-party's name, harm or infringe the rights of any other person. KingSmart School holds the right to terminate service to the user in such event. Members are responsible for maintaining the confidentiality and security of their account credentials. Please notify us immediately upon suspecting a security breach. KingSmart School assumes no responsibility for the illegal use of accounts and passwords due to hacking or negligence of member.

Members are responsible for maintaining the security of account credentials and fully responsible for all the activities that occur under the account and any other actions taken in connection with the account.

Users shall only use the service of KingSmart School as permitted by law. Interfere with KingSmart School or try to access the service of KingSmart School by using the method other than the interface and the instructions provided by KingSmart School is strictly prohibited and KingSmart School has the right to terminate the service to the Users.

Privacy Policy

All registration personal information kept by KingSmart School group is protected under the laws of Taiwan and our Privacy Policy.

Terms of Use

Access to the content of the course publication is only available on KingSmart School by the single member who has purchased and enrolled in the course within the agreed time limit. Streaming or publicly displaying the contents is strictly prohibited. A violation of the above may result in termination of account service. Depending on the case, KingSmart School has the right to file legal action and claim punitive damages of 1,500 times the original price of publication from the violator.

Any text, document, image, video, photos(including photos of users), audio, music, or artwork ("content") uploaded or distributed via KingSmart School’s Service, whether publicly or privately, are the responsibility of its provider. KingSmart School assumes no responsibility for any unauthorized use of the uploaded content among members.

KingSmart School cannot guarantee the legality, correctness, completeness or quality of the content delivered via our service. KingSmart School shall not be held liable for the content uploaded by its members of which a third party may claim infringement, unpleasant, inappropriate or objectionable. However, KingSmart School reserves the right to immediately cease the aforesaid distribution, delete any of the content and take appropriate actions, including but not limited to suspending the member from all or part of the our service, or take legal action depending on the case. Users must abide by the laws and regulations of Taiwan and agree not to use the service for any illegal or improper activities.

Users may not download, reproduce, redistribute, sell, broadcast, share, or use any content of the course and KingSmart School. Users who violate the previous section, he/she should be responsible for the damages caused.

Pre-order and Course Enrollment

KingSmart School is an online platform for online courses. We allow members to publish course content ("publication")and recruit other members to pre-order the publication. Members who publish publication are course instructors ("Instructor") while members who pre-order or purchase the publication are students ("Students"). KingSmart School uses ECPay of Green World FinTech Service Co., Ltd. to process payments. By using KingSmart School’s service, members agree to the Terms and Conditions stated on ECPay website. KingSmart School is not responsible for any disputes raised between Instructors, Students and other users.

KingSmart School will not make guarantee for any individual or group, nor will it be liable for any of disputes, claims, losses, or damage of any kind that might arise out of or relate to the conduct of Instructors or Students.

As stated before, KingSmart School is only a online courses platform, therefore, the Instructor is solely responsible for the course and the entirety of the publication. KingSmart School reserves the right to cancel the course and refund the full amount of all purchases at any time. KingSmart School assumes no responsibility for the effectiveness and quality of the Green World ECPay service. Any payment disputes with ECPay occurs, members should follow ECPay’s instruction to solve, KingSmart School makes no guarantee that the payment is completed. The Instructor then is free to make a refund, for which KingSmart School is not responsible. KingSmart School reserves the right to cancel, modify and interfere with the publication at any time.

Invoice

KingSmart School will issue and deliver a payment receipt to Students as proof of full payment for the course upon the purchase of the course. (for both pre-order and general course). If the course crowdfunding campaign is not successful, or if the Instructor fails to fulfill their obligations, KingSmart School will make a full refund to the Student.

According to Taiwan Tax regulations, for Students who purchase the course from outside of Taiwan, no payment receipts shall be issued and delivered.

Third Party Links

KingSmart School may contain links to third party websites that are external to KingSmart School. KingSmart School has no control over the links and resources of third-party websites, so the users shall learn about the terms, conditions and privacy statements of the third-party website before accessing to whatsoever for any loss or damage caused by the content, products or other materials accessed through third-party websites and resources. KingSmart School does not endorse or make any representation, guarantee or assurance regarding any third-party website or resources.

Intellectual Property Rights

KingSmart School retains all right, title, and interest in and to any and all of its intellectual property rights on KingSmart School and the content ("Website Content"), including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights. Any rights not expressly granted herein are reserved.

All materials and components of the Website Content, including documents, course video, images, reports, course introductions, Instructor introductions and FAQs that are made available as part of the Website Content are the copyrighted work of KingSmart School. Your use of these all materials and components of the Website Content is governed by these terms.

The design or layout of KingSmart School are protected by copyright, trade dress, trademark, unfair competition, and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound, or image from KingSmart School may be copied or retransmitted unless expressly permitted by KingSmart School Group.

Content and Other Legal Rights

KingSmart School Group does not claim ownership of any content members uploaded or submitted to KingSmart School. However, by posting, uploading or submitting the content, members are granting KingSmart School Group a worldwide, irrevocable, non-exclusive, royalty-free license to copy, use, reproduce, adapt, publish, translate, transmit, publicly display, edit, reformat and distribute the aforesaid content in any existing or future media. No compensation will be paid with respect to the use of members’ submission, as provided herein.

Termination of Service

The user agrees that KingSmart School Group has the right to terminate or suspend permission to use KingSmart School platform and services at any time for any reason, including but not limited to lack of use, violation of Terms of Service. Upon any such termination KingSmart School Group may delete the user's account and content, and prevent users from further access to service of KingSmart School, with or without notice.

Indemnification

The user shall indemnify and hold harmless KingSmart School Group and each of its officers, directors, employees, agents or contractors from and against any claims, demands, losses, liability, damages, or expenses(including reasonable attorney fees) arising from(a)the content the user posts or submits,(b)the use of the services(c)the user’s violation of these Terms, or(d)the user’s violation of any rights of a third party.

Modification to the service

KingSmart School has the right to suspend or terminate our service (or any part of it) within the scope permitted by law, with or without notice. Users are advised to back up the materials uploaded on KingSmart School. KingSmart School is not responsible for any loss of content and related damages.

Advertisements and Promotions

The user agrees that any business dealings, interactions, or participation in sponsored giveaways or promotions with advertisers through KingSmart School’s service, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between the user and such advertiser. The user agrees that KingSmart School shall not be held responsible for any loss or damage incurred as the result of such interactions or dealings with advertisers.

Prohibited Behavior

The user shall not conduct any of the following while accessing or using KingSmart School and services:(a), modify create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of or content on the KingSmart School or services.(b)Include commercial product placement in any published content on the KingSmart School. KingSmart School has the right to identify and remove the content in violation of the regulations.

Disclaimers of Warranty

KingSmart School does not warrant that (a)the service will meet your specific requirements,(b) the service will be uninterrupted, timely, secure, or error-free,(c) the results that may be obtained from the use of the service and, KingSmart School will be accurate or reliable,(c)the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and(v)any errors in the service will be corrected. The user agrees that the use of KingSmart School and the courses, is at the user’s sole risk. No advice or information, whether oral or written, obtained by you from us or through the service and KingSmart School, shall create any warranty not expressly stated in these Terms.

Limitation of Liability

The user agrees that there are risks inherent into using our services. To the extent permitted by law, KingSmart School is not liable for any indirect, incidental, punitive, or consequential damages(including loss of data, revenue, profits, or business opportunities, or other forms of loss), whether arising in contract, warranty, tort, product liability, or otherwise(even if we've been advised of the possibility of damages in advance), resulting from:(a)the use or the inability to use the service and KingSmart School;(b)the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service;(c)unauthorized access to or alteration of your transmissions or data;(d)statements or conduct of any third party on the service;(e)or any other matter relating to the service and, KingSmart School, except as expressly provided in these Terms of Service.

General Clause

Where a dispute cannot be resolved amicably, the user and KingSmart School agree to the exclusive jurisdiction of the Taiwan courts. The failure of KingSmart School to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If the provisions of these Terms of Service are invalid due to conflicts with the laws of Taiwan, the other provisions of these Terms of Service shall have full effect. The titles of these Terms of Service are for convenience only and do not have any legal or contractual effect.
